BVI Offshore Company Formation in 2026

Since the introduction of economic substance requirements in the British Virgin Islands (BVI), it can no longer be called a classic offshore zone. However, the jurisdiction still offers great conditions for setting up a business. The BVI didn't just follow the EU's typical legislative changes but instead found a compromise between the demands of the OECD (and FATF) and the desires of investors. The authorities have created a business-friendly environment that also meets international standards. As a result, the BVI remains one of the few jurisdictions that still attract entrepreneurs even after the real presence requirements for certain companies were introduced.

Important Changes in the BVI in 2019: Economic Substance

What happened on January 1, 2019, in the BVI? The Economic Substance Act came into effect, requiring some companies registered in the BVI to meet economic substance requirements (economic substance test). These requirements apply to legal entities established in the BVI (companies and limited partnerships), as well as foreign companies and partnerships (except partnerships that do not have a separate legal personality).

Two key aspects determine which companies must prove economic substance: tax residency and the type of business activity.

Non-resident companies that are tax residents of another country (excluding countries on the EU’s “blacklist”) do not have to comply with the new rules. The economic substance requirements do not apply to them.

Companies that are tax residents of the BVI, upon request from the International Tax Authority (ITA), must provide all necessary information proving the company’s real presence on the islands. This real presence includes:

  1. Exercising control or management from within the BVI (this means having a sufficient number of board meetings held regularly in the BVI, a quorum of attendees, and keeping meeting minutes in the BVI);
  2. Having a sufficient number of employees physically present in the BVI;
  3. Having a real office in the BVI;
  4. Conducting activities at the company’s registered office.

Additionally, special requirements apply to companies engaged in the following activities:

  • service and distribution;
  • banking;
  • shipping;
  • insurance;
  • holding activities;
  • fund management;
  • intellectual property management;
  • and some others.

(referred to as “relevant activities” below)

Owners of these companies, in addition to ensuring economic substance, must also provide additional information to their registered agent in the BVI (such as details about employees and their numbers, the start and end date of the financial year, the company’s annual turnover, information about the company’s office, etc.).

Non-resident companies engaged in relevant activities must prove tax residency in another country with evidence of tax payment (e.g., a tax residency certificate). In such cases, the company does not need to ensure economic substance in the BVI.

So, if a business operates outside the BVI and this is confirmed with the appropriate documents, there will be no significant changes for the company. This is an important nuance that has allowed many companies to remain in the BVI despite significant legislative changes.

Important:

In case of failure to provide documents and information or providing them after the deadlines specified in the ITA’s request, various sanctions may apply, ranging from fines to compulsory liquidation of the company.

Once submitted, all information is entered into a database that is connected to BOSS.

Interesting:

BOSS (Beneficial Ownership Secure Search system) is the Beneficial Ownership Secure Search system used in the BVI. It is a unique database where information about the beneficial owners of registered companies is stored.

As for reporting, companies in the BVI are now required to prepare and submit an annual financial report. The reporting period is one year and is calculated either from the date of company registration (for companies registered after January 1, 2019) or from the date chosen by the company as the start of the reporting period.

Interesting:

For new companies, the requirements came into effect on January 1, 2019, while existing companies were given a transitional period until December 31, 2019. During this time, business owners were required to bring their companies into compliance with the legal requirements: either by ensuring real presence on the islands, liquidating the company, or proving tax residency in another country.

In favor of choosing the BVI as a country of registration, it is worth noting that, despite its classic offshore nature in the past, the BVI has not been considered a “blacklisted offshore zone” and has consistently strived to maintain a reputable standing. All these factors collectively contribute to the BVI’s strong image for business registration and development.

What makes company registration in the British Virgin Islands (BVI) unique after the changes? Let’s start with the choice of organizational and legal forms.

Organizational and Legal Forms of Companies in the BVI

Regarding the organizational and legal forms of companies in the BVI, the Companies Act 2004 is still in effect.

According to the Act, the following types of companies can be established in the BVI:

  • Company Limited by Shares;
    The liability of shareholders for the company’s debts is limited to the amount of their shares.
  • Company Limited by Guarantee;
    A company where the liability is limited to a guaranteed amount that the members have agreed to contribute in the event of the company’s liabilities to creditors or in the event of the company’s liquidation. Typically, the company’s memorandum specifies that the company does not intend to issue shares.
  • Company Limited by Guarantee with Share Capital;
    A mixed type of company that, unlike the previous one, allows for the issuance of shares regardless of the guaranteed amount.
  • Unlimited Company with or without Share Capital;
    This type provides for unlimited liability of the company’s members for the company’s debts and obligations. As a general rule, this organizational and legal form is not popular.
  • Special Purpose Vehicle (SPV);
    A company of this type can only conduct the activities specified in its constitutional documents.
Important:

A classic offshore company, as traditionally understood, can no longer be established in the BVI. However, for companies engaged in activities listed as relevant activities (mentioned earlier), there remains the possibility of conducting activities in their country of tax residence.

BVI offshore company formation procedure

As before, company registration in the British Virgin Islands takes place in the Companies Registry.

To start the registration process, identification documents for all company participants are required (details can be clarified with our specialists), as well as the following information:

  • 2-3 proposed names for the future company in order of priority;
  • Structure of the future company (who will be the director, shareholder, and beneficial owner);
  • Type of business activity of the future company.

Once all necessary documents and information are received, the company registration process in the British Virgin Islands will be initiated. The entire process, from obtaining the necessary documents for registration to producing the final set of corporate documents for the completed company, includes the following stages:

  1. Name availability check and selection of an acceptable name. The name check process takes no more than 1 day.
  2. Submission of registration documents to the Registry. Preparation of the registration application, submission to the Registry, and provision of all necessary data for registration.
  3. Company registration in the British Virgin Islands at the Registry. The registration process typically takes 4-8 days.
  4. Preparation of constitutional documents for the registered company and production of the company seal (if necessary).
  5. Document apostille (if necessary). This takes 1-2 days.
Important:

Before registering a company, it is necessary to confirm compliance with economic substance requirements, except in cases where these requirements do not apply to the company. Otherwise, the company’s registration may be denied.

After registering the company and meeting all necessary conditions, the company can operate legally within the BVI, grow, and generate the desired income without hindrance. The imposition of economic substance requirements is driven by global demands to combat the development of criminal schemes and money laundering. The adoption of such legislative changes helps enhance the country’s reputation and increase trust from both international organizations and businesspeople.

Conclusion

BVI offshore company formation remains an excellent option for those seeking a reliable jurisdiction that complies with international standards and provides a high level of confidentiality. Given the sanctions for failing to meet economic substance requirements, all companies in the BVI must either establish an office on the islands, hire employees, and commence activities there, or become tax residents of another country and provide proof of such tax residency to BVI authorities. In any case, the requirements for companies are quite manageable, and therefore, closing the company and registering in another jurisdiction is not the only solution.
