A Brief Overview of Macau
Macau consists of a peninsula occupied by the city itself; as a former Portuguese colony, Portuguese remains the second official language after Chinese. Despite its direct subordination to China, the territory has its own currency, legislation, and governmental bodies — functioning similarly to an independent state.
Consistent GDP growth, a high standard of living, and a favorable attitude toward non-residents attract numerous foreign companies to engage in commercial activities in the region.Therefore, a potential foreign investor considering company registration in Macau should familiarize themselves with all the key features of Macau as a business jurisdiction.
Macau is often compared to Hong Kong, another well-known financial hub. Nevertheless, let us start with the company types.

- Public Companies.
This type of company is designed for large enterprises and generally requires a minimum share capital of about MOP 1,000,000 and at least three directors. - Private Single-Member Companies.
In such a company, all assets belong to a single individual or legal entity. - Limited Liability Companies (LLC).
LLCs are the most common type of company in Macau. Shareholders’ liability is limited to their capital contributions.
Advantages of Company Registration in Macau
Macau maintains a highly favorable approach toward non-residents, making it one of the most attractive destinations for foreign capital. In addition, the region offers the following advantages:

According to the Macau Commercial Code, a private limited company must have at least one director and one or more quota-holders (with a single-member option available).
A director may also act as a shareholder.
There are no nationality restrictions for directors or shareholders in Macau; the only requirement is that the individual must be at least 18 years old.
Company Name Requirements
The company name must be unique and not duplicate any existing name in the Macau Company Registry.
If there is only one shareholder, this must also be reflected in the company name.
The company name must be in at least one official language (Chinese or Portuguese). An English version may also be included in addition to the official-language name(s).
Company Share Capital Requirements
The standard share capital for a company in Macau is MOP 25,000 (approximately USD 3,000). Capital can be contributed either in cash or in kind. If contributed in kind, a statement of the source of funds must be attached to the incorporation documents.

A set of documents must be collected for company registration. All shareholders are required to sign the necessary documents in the presence of a Macau notary, although this can also be done remotely through a duly authorised representative.
LLC Company Registration in Macau: the Procedure
Before commencing operations in Macau, it may be necessary to obtain a business license from the Economic and and Technological Development Services (DSEDT) and complete related procedures (such as registration with the social-insurance funds). Once the license is obtained and all formalities are completed, the company registration can proceed. The registration procedure in Macau includes the following stages:
- Company Name Selection and Reservation;
The process begins with the Commercial Registration Department, which issues a certificate confirming that the proposed company name has been reserved for the applicant for 60 days. - Signing Registration Documents with a Notary;
Once the company name is available and successfully reserved, a meeting with a Macau notary must be arranged for all shareholders and directors to sign the incorporation documents. The Articles of Association, Memorandum, and other required documents are signed either in the presence of a notary in Macau or remotely. Since 2020, company registration in Macau can often be completed entirely through a representative acting under a notarised power of attorney, without a physical visit, although specific notarial or banking steps may still require in-person attendance.
Company documents must be apostilled by a local notary in the country of incorporation if the shareholder is a legal entity.
- Company Registration Procedure;
Once all documents are properly signed and submitted, the company registration process in Macau begins. Typically, it takes approximately 2–3 weeks to complete registration.
Companies in Macau must hold an annual shareholders’ meeting within three months after the close of their financial year. Meetings are held at the company’s office or another location within Macau.
- Preparation of constitutional documents;
Once the company is successfully registered, the constitutional documents are issued immediately, reflecting key information such as the registration date, registration number, company name, ownership structure, and registered address. - Bank account opening.
One of the most critical stages of company registration in Macau is opening a bank account. Therefore, shortly after preparing the constitutional documents, the next step is opening a company account. The bank interview and form-completion process takes approximately 1–2 hours, followed by approximately 3–4 weeks for approval and account opening. The timeline varies depending on the specific bank.
Overall, the entire process from name availability check to bank account opening takes approximately 1 to 1.5 months.
Corporate Taxation in Macau
Profits from industrial and commercial activities are subject to Complementary Tax (corporate income tax) at up to 12%.
Under current annual incentives, profits up to MOP 600,000 are exempt from Complementary Tax, and profits above that threshold are taxed at 12%.
Note that the MOP 600,000 exemption is an annually approved incentive and not a permanent statutory band.
Statutorily, profits up to MOP 32,000 are permanently exempt, rates are progressive up to 9% on the next MOP 268,000, and 12% applies to the remainder.
| Taxable Annual Income | Rate |
|---|---|
| Income up to MOP 600,000 | Tax exemption |
| Income above MOP 600,000 | 12% |
